1. Acceptance of Terms

By accessing, browsing, or using MatchCutEffect (matchcuteffect.com), you signify your unconditional agreement to be bound by these Terms and Conditions ("Terms") and our Privacy Policy. If you are entering into these Terms on behalf of an enterprise, production agency, or legal entity, you represent that you possess the authority to bind such entity.

If you do not accept these Terms in their entirety, you must immediately terminate use of the website and video generator.

2. Description of the Service

MatchCutEffect is an algorithmic, browser-native video generator designed to produce cinematic newspaper text match cuts, kinetic headline animations, and paper typography video clips. The service executes procedural rendering locally in modern HTML5 browsers with zero server-side queue latency, exporting 1080p HD MP4 (H.264) and WebM (VP9/VP8) video files with synthesized acoustic sound design.

3. 100% Creator Ownership & Commercial Rights

Under this grant of commercial rights:

• YouTube & Social Media Monetization: You are fully authorized to publish match cut sequences in monetized YouTube videos, TikTok clips, Instagram Reels, YouTube Shorts, and Twitch streams.
• Client & Agency Deliverables: Freelance video editors and creative agencies may deliver generated video sequences directly to paying clients without royalty obligations or agency surcharges.
• Commercial Advertising & Film Broadcast: You may incorporate exported clips into paid commercial advertisements, documentary films, theatrical releases, television broadcasts, and digital out-of-home displays.
• Zero Watermark Mandate: We will never insert forced promotional watermarks, brand logos, or end-cards into your video exports.
• No Attribution Required: While we appreciate mentions or links back to matchcuteffect.com, attribution is completely optional and never legally required.

4. Acceptable Use Policy & User Conduct

You agree to use MatchCutEffect solely for lawful purposes and in accordance with standard community standards. You agree NOT to use the service to:

• Generate video text sequences that contain hate speech, direct incitement of violence, defamatory statements, child exploitation, or illegal harassment.
• Infringe upon the copyright, trademark, trade secret, or intellectual property rights of any third party.
• Deploy automated bots, headless spiders, scrapers, or programmatic scripts to overwhelm our web servers, flood edge CDN caches, or degrade service quality for legitimate human users.
• Reverse-engineer, decompile, or attempt to extract source algorithms from the platform, except to the extent permitted by applicable open-source licenses.
• Circumvent, disable, or tamper with security features, anti-adblock mechanisms, or rewarded ad gate protocols that sustain our free operational model.

5. Intellectual Property of MatchCutEffect

While you own the video outputs generated from your input text, MatchCutEffect and its licensors retain all right, title, and interest in and to the platform itself. This includes:

• The MatchCutEffect brand name, logos, typography, visual interface, and styling (CSS tokens).
• The proprietary browser rendering pipeline, kinetic text centering formulas, procedural audio synthesizers, and Web Audio DSP models.
• Original editorial articles, tutorials, comparisons, and documentation published on our blog.

You may not clone, mirror, rebrand, or resell the MatchCutEffect website as a competing hosted service without our prior written consent.

6. Third-Party Advertisements & Rewarded Ad Mechanics

To maintain free access for all creators, MatchCutEffect displays third-party programmatic advertisements (including Google AdSense and Google Ad Manager). Certain generation or high-resolution export workflows may feature rewarded ad gate mechanics.

Your dealings with or participation in promotions of advertisers found on or through the service are solely between you and the advertiser. We make no representations or warranties regarding third-party goods, services, or websites linked through programmatic advertisements.

7. Disclaimer of Warranties ("AS-IS")

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, MATCHCUTEFFECT DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• THAT THE SERVICE WILL MEET YOUR SPECIFIC PRODUCTION REQUIREMENTS OR RENDER AT SPECIFIC FRAME RATES ACROSS ALL LEGACY HARDWARE.
• THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM BROWSER-SPECIFIC CODEC GLITCHES.

Because video encoding is executed locally via browser APIs (MediaRecorder, Canvas), performance is subject to your device's available GPU acceleration, CPU capacity, and browser version.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MATCHCUTEFFECT, ITS FOUNDERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA LOSS, CLIENT DEADLINE DELAYS, OR BUSINESS INTERRUPTION ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE GREATER OF FIFTY UNITED STATES DOLLARS ($50.00 USD) OR THE AMOUNT YOU PAID US IN THE PRECEDING TWELVE MONTHS (IF ANY).

9. Indemnification

You agree to defend, indemnify, and hold harmless MatchCutEffect, its officers, directors, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising from or relating to: (a) the text phrases or keywords you input into the generator; (b) your violation of these Terms; or (c) your violation of any third-party rights, including intellectual property or privacy rights.

10. Modifications to Service & Terms

We reserve the right at any time to modify, suspend, or discontinue the service (or any portion thereof) with or without notice. We may also revise these Terms from time to time. The latest version will always be posted on this page. Your continued use of the service following the posting of revised Terms signifies your binding acceptance.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively in the state or federal courts located in New Castle County, Delaware.
